Legal requirements

Methods and conditions for carrying out trading activities on the national market and abroad are defined by the Trade Act. Trade includes purchasing goods for resale and the performance of trading services.

 The Companies Act defines their basic status, the articles of incorporation and the operations of companies, sole proprietors, related persons, economic interest groups, subsidiaries of foreign companies and their restructuring status.

 The Small Business Act defines how a craft is pursued as a business activity, lays down the conditions for undertaking craft activities, craft-like activities, the activity of home crafts and applied arts, the organisation of the chambers-of-crafts system and the basis of staff training for the needs of carrying out these activities.

Business entities must be entered in the business- and court register in accordance with the provisions of the Court Register Act and the Business Register Act.         

Types of Cooperation

 Franchising is a type of distribution where an issuing company issues to other companies an entitlement to sell goods or perform services using the issuing company's trademarks, know-how, technical support and certain protected rights.

 The Public-Private Partnership Act defines the projects of public-private partnership as projects of public interest which are drafted for the construction, maintenance or management of public infrastructure or they are connected with the activities of commercial and other public services. In accordance with the law, there are the following types of public-private partnerships:

  • a contractual partnership, may be conducted as:  
    • a concession relationship (concession partnership) or
    • a public procurement relationship (public procurement partnership)
  • equity (institutional) partnerships    may be established in the following ways:  
    • by the formation of a legal entity
    • by the sale of a share by a public partner in a public company or by another entity under public or private law
    • by the acquisition of a share in an entity under public or private law, by recapitalisation or in some other similar and comparable way.

The relationships of public-private partnerships are deemed to be concession public-private partnerships, if most of the business risks are borne by a private partner.

 Commercial Interest Group (GIZ) may be established by at least two companies or entrepreneurs. The objectives of such a Group are to alleviate the risk and promote the profitable activities of its members, and to improve and increase the results of these activities.   Slovenia has a great number of Commercial Interest Groups in various areas.

Slovenia also has other well-developed forms of cooperation, such as joint ventures, where two or more companies set up a new company, or subcontracting,  where a subcontractor may be entrusted by the entrepreneur, under the entrepreneur's own responsibility, with the task of carrying out all or part of a contract, which is concluded between the entrepreneur and a third party.

New Business Structures in Europe

Since the entry of Slovenia to the European Union, Slovenian business entities have been able to accede to European interest groups, European cooperatives, European associations and institutions and other forms of association at European level, as their full members.

 The Companies Act in particular regulates the creation, management, transfer of registered office and termination of a European public limited-liability company. The articles of association must be submitted to the registry and notice of such registration must be published, to advise shareholders of their rights to request the acquisition of shares for severance pay, and to advise creditors of their rights to request securities for their claims.

 The Ministry of Finance of the Republic of Slovenia governs regulations for the avoidance of double taxation. Slovenia has signed the convention on the avoidance of double taxation on property and income with all EU Member States.

Other options for expanding your business are taking over an existing one, merging with another company or opening a branch in another EU country.

Administrative procedures

Business entities must be entered in the business- and court register in accordance with the provisions of the Court Register Act and the Business Register Act.         

An entrepreneur who performs a business activity must be entered in the Register of the Tax Administration as a taxable person for the payment of value added tax (VAT).

 The Ministry of Finance of the Republic of Slovenia governs regulations for the avoidance of double taxation.

Slovenia has signed the convention on the avoidance of double taxation on property and income with all EU Member States.
