Mergers: Commission approves acquisition of sole control over Sony/ATV by Sony Corporation of America

The European Commission has cleared under the EU Merger Regulation the proposed acquisition of sole control over the music publishing business of Sony/ATV by Sony Corporation of America, both of the US. Sony/ATV, a music publishing company, is currently jointly owned and controlled by Sony and the Michael Jackson Estate. In addition to its own catalogue, Sony/ATV is also the exclusive administrator of the catalogue of EMI Music Publishing, which is ultimately jointly controlled by Sony. The Commission found that the transaction would have no negative impact on competition in any of the markets for recorded music and music publishing in the European Economic Area. In particular, the transaction will not materially increase Sony's market power vis-à-vis digital music providers compared to the situation prior to the merger. More information is available on the competition website, in the Commission's public case register under the case number M.8018. Mergers: Commission clears joint acquisition of Pneuhage Partners by Pneuhage Management and Bridgestone Deutschland

The European Commission has approved under the EU Merger Regulation the acquisition of joint control over Pneuhage Partners Group GmbH & Co. KG by Pneuhage Management GmbH & Co. KG and Bridgestone Deutschland GmbH, all of Germany. Pneuhage Partners is active in the retail distribution of tyres and car related services, as well as in the manufacturing and sale at the retail level of retreaded tyres in Germany. Pneuhage Management is active in the wholesale and retail supply and distribution of replacement tyres and rims for a variety of vehicles such as cars, trucks, motorcycles, agricultural and earthmoving vehicles and the retreading of bus and truck tyres in Germany, France and Poland. Bridgestone Deutschland, a subsidiary of the Bridgestone Corporation, is active in the wholesale and retail trade of new tyres of various types, such as car, truck, motorcycle, agricultural and earthmoving tyres and in the retreading of truck tyres in Germany. The Commission concluded that the proposed acquisition would raise no competition concerns, because the overlaps between the companies' activities are limited and a number of other players are active in the wholesale and retail distribution of new replacement and retreaded tyres for various vehicle categories. The transaction was examined under the simplified merger review procedure. More information is available on the Commission's competition website, in the public case register under the case number M.7984.(For more information: Ricardo Cardoso – Tel.: +32 229 80100; Giulia Komel – Tel.: +32 229 61175)

Mergers: Commission clears acquisition of Bilfinger Real Estate Solutions and Bilfinger Efficiency by EQT VII

The European Commission has approved under the EU Merger Regulation the acquisition of Bilfinger Real Estate Solutions GmbH and Bilfinger Efficiency GmbH (together ''Bilfinger''),both of Germany, by EQT VII of the UK.  Bilfinger is active in building construction and real estate management as well as in facility management services. EQT VII, part of the EQT group of private equity funds, is an investment fund which seeks to invest primarily in Northern Europe. Some of EQT's portfolio companies are active in similar businesses as Bilfinger's, but the combined market shares of the companies remain limited. The Commission therefore concluded that the proposed acquisition would raise no competition concerns because of its very limited impact on the market structure. The transaction was examined under the simplified merger review procedure. More information is available on the Commission's competition website, in the public case register under the case number M.8093. STATEMENTS

Roma Holocaust Memorial Day, 2 August 2016 : Statement by First Vice-President Timmermans and Commissioner Jourová

"On the night of 2 to 3 August 1944, around 3,000 Roma men, women and children from the ‘Gypsy family camp’ of Auschwitz-Birkenau were murdered in the gas chambers. They were among hundreds of thousands of victims of the Roma genocide, killed by the Nazis and their allies. The Roma were one of many groups who fell victim to the holocaust. It is in memory of all these innocent victims and the horrific injustice they suffered and died from that the European Commission commemorates the Roma Holocaust Memorial Day on 2 August. Against a backdrop of increasingly divisive rhetoric, hate speech and hate crime, it is important to recall these dark moments in our history and learn the lessons of the past. Many people have little or no knowledge that the Roma were targeted by the Nazi regime. The holocaust of the Roma is an under-taught and under-recognised topic. We must not forget that still today there are too many Roma facing discrimination, and who are victims of hate speech and hate crime in Europe. The European Commission recalls its support for the European Parliament's resolution of 15 April 2015 officially recognising Roma Holocaust Memorial Day. We hope that all Member States will recognise it. The European Commission remains committed to improving Roma integration. It will continue to work with all stakeholders to improve the daily lives of Roma." The statement is available online.
