Commission clears the acquisition by RTL Newmedia of a stake in PrimusPower

The European Commission has cleared the acquisition by RTL Newmedia, a subsidiary of CLT-UFA, of a stake in PrimusPower, a German e-commerce company. The deal poses no risk of creation or strengthening of a dominant position.

PrimusPower is a subsidiary of Primus-Online, itself ultimately controlled by German retail group Metro AG through BHS Holding of Switzerland. The company trades a variety of goods and services through the Internet, including computer equipment, software, television sets and other products.

RTL Newmedia is a subsidiary of German TV station RTL, which is mainly active in multimedia and e-commerce and which is ultimately controlled by CLT-UFA.

A one-month investigation showed that electronic-commerce for consumer goods is an emerging market and that no significant market shares were created through the deal. In the market for Internet-advertising, the increase in market share is also not significant despite the presence in that market of Bertelsmann, which has a stake in CLT-UFA.
